Calian Group could be spending upto $52 million Canadian dollars ($36.6 million) in a deal to acquire Galaxy Broadband Communications, a Canadian provider of satellite communications and remote connectivity solutions.
Under the terms of the agreement, Calian will acquire Galaxy for CA$24 million ($16.9 million) in upfront consideration, with additional earnout consideration of CA$27.5 million ($19.3 million) conditional on performance over the next three years. Galaxy Broadband is owned by Crown Capital Partners, a private equity firm that acquired the company in 2020. Calian announced the deal on June 25.
Galaxy Broadband delivers secure and resilient communications and connectivity solutions to government, defence, critical infrastructure and remote community customers across Canada. It is a service provider that delivers across LEO satellite deployment, private wirelesss and multi-orbit connectivity solutions. It supports organizations operating in some of Canada’s most remote and challenging environments, including Northern Canada. The company has established relationships with key federal, territorial government organizations, critical infrastructure operators and businesses operating throughout Northern and remote Canada.
It is a distribution partner of Eutelsat OneWeb and has deployed OneWeb in locations throughout Canada.
Calian said the transaction will strengthen the company’s ability to deliver integrated communications and connectivity solutions by combining Galaxy’s connectivity expertise with Calian’s capabilities across communications infrastructure, cybersecurity, defence technologies and remote service delivery.
